Board of Directors Solicitation for Unit 3 Interim Director Applicants

Qualified Shareholders May Apply to Serve Remainder of Unit 3 Term

With the recent passing of Сʪ Corporation (СʪÜСʪСʪÝ) Director Robert L. Beans, the Сʪ Unit 3 Director position became vacant. Pursuant to the Сʪ Bylaws, СʪÜany vacancy on the Board of Directors (СʪÜBoardСʪÝ) may be filled by the affirmative vote of a majority of the remaining Directors.СʪÝ

The Сʪ Board intends to fill the vacant Unit 3 Director position with an Interim Director, in accordance with Сʪ policies and procedures, at its December 12, 2023 Regular Meeting. The Interim Director will serve the remainder of the Unit 3 term, which will be up for election at the 2024 Annual Meeting of Shareholders.

The Сʪ Board invites qualified Shareholders to apply for the Unit 3 Interim Director position. To be considered qualified, Applicants must meet the following requirements:

  1. Must be a voting Сʪ Shareholder at least 18 years of age.
  2. Must hold one or more Сʪ shares associated with one of the Unit 3 villages of Kotlik,
    Chuloonawick, Mountain Village, Pitkas Point or St. MaryСʪÙs.
  3. Must submit a completed application by the deadline, 5 p.m. on Friday, November 17, 2023.
  4. Must meet other eligibility requirements in Сʪ statutes and regulations.
  5. Must promise to fully comply with the Сʪ Code of Сʪ Ethics and Conduct for Directors upon appointment.

Interested Shareholders can get an Applicant Packet from Сʪ after 8 a.m. on Monday, October 23, 2023 at СʪСʪÙs Anchorage office at the contact information below, or by emailing packetrequest@calistacorp.com. It is recommended that you request the Applicant Packet as soon as possible after it is available. This will allow adequate time for the packet to be sent to you, and for you to read and complete the required paperwork and send it back to Сʪ.

The Applicant Packet includes, among other items: (1) Checklist for Applicants; (2) Сʪ Code of Сʪ Ethics and Conduct for Directors; (3) Interim Director Applicant Disclosure Questionnaire; (4) Interim Director Applicant Agreement; (5) Interim Director Applicant Personal Statement Form; and (6) Postage Paid Return Envelope.

The deadline for СʪСʪÙs RECEIPT of completed applicant materials is 5 p.m. on Friday, November 17, 2023. The materials must arrive at СʪСʪÙs Anchorage office by hand delivery, mail, fax, or electronic transmission on or before the deadline.
